Merger of Subsidiaries

The following is a Company Announcement issued by 6PM HOLDINGS P.L.C., a company registered under the laws of Malta with company registration number C 41492 and having its registered office at Idox Business Centre, Triq it-Torri, Swatar, Birkirkara BKR 4012, Malta (hereinafter the “Company”), pursuant to the Listing Rules issued by the Listing Authority.

Merger of Subsidiaries

The Company announces that, as part of a corporate restructuring exercise aimed at streamlining its operations in an efficient manner, its subsidiary companies 6PM Agencies Limited (C 51798), 6PM Infrastructure Ltd (C 51797), emCare360 Ltd (C 53050) and emCare Group Malta Limited (C 60683) (hereinafter collectively referred to as the “Subsidiaries”) are each to be amalgamated into 6PM Limited (C 27657) by virtue of four (4) mergers by acquisition in terms of the provisions of Article 358 of the Companies Act, Chapter 386 of the laws of Malta.

The proposed mergers by acquisition are preceded by transfers by the Company of its entire shareholding in each of the Subsidiaries to 6PM Limited.

Upon the proposed mergers by acquisition taking effect, 6PM Limited, as the acquiring company of each of the Subsidiaries, shall succeed to all the assets, rights, liabilities and obligations of each of the Subsidiaries, which, in turn, shall cease to exist.

The proposed mergers by acquisition shall not have any effect on the Company’s shareholding in 6PM Limited and the Company shall continue to hold the totality of the Ordinary voting shares issued in the said company. Furthermore, the proposed mergers shall not have any effect on the rights of the Company’s bondholders.

The Company will keep the market informed of developments in respect of the foregoing, specifically upon the aforementioned mergers becoming effective in terms of law.
