Approval and Publication of Annual Report and Audited Financial Statements

​The following is a Company Announcement issued by 6PM HOLDINGS P.L.C., a company registered under the laws of Malta with company registration number C 41492 and having its registered office at 52, St. Christopher Street, Valletta VLT 1462, Malta (hereinafter the “Company”), pursuant to the Capital Markets Rules issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the laws of Malta), as amended from time to time.

​Approval and Publication of Annual Report and Audited Financial Statements

​The Company hereby announces that during the meeting of its Board of Directors held on 27th February 2024, the Company’s Annual Report and Audited Financial Statements for the financial year ended 31st October 2023 were approved.

​The Board of Directors shall be recommending to the Annual General Meeting of the Company that no dividend be declared in respect of the financial year ended 31st October 2023.

​The Company notes that, in terms of Capital Markets Rule 5.16.24, the Board of Directors has determined that the results set out in the aforesaid Annual Report and Audited Financial Statements for the financial year ended 31st October 2023 differ by more than ten percent (10%) from previously published forecast financial information featured in the Financial Analysis Summary dated 26th April 2023. The variance threshold was surpassed as a result of foreign exchange movements and increased finance costs.

​The Board of Directors resolved that the aforesaid Annual Report and Audited Financial Statements be submitted to the shareholders of the Company for their approval at the forthcoming Annual General Meeting scheduled to take place on 28th March 2024.
